These Terms and Conditions ("Terms") govern the use of the website and services provided by Vogue Talent Roster ("Agency," "we," "our," or "us"), a talent management agency registered and operating under the laws of the Federal Republic of UAE, with its principal place of business at Al Amal Street, Al Khaleej Al Tejari 2 St, opposite Safeer Tower, 2, Business Bay, Dubai, UAE.
By accessing our website or engaging our services, you ("User," "Client," or "Talent") agree to be bound by these Terms. If you do not agree with any part of these Terms, you must discontinue use of our website and services immediately.
Vogue Talent Roster provides the following services:
The specific scope of services for each talent or client is defined in the respective individual contract or representation agreement.
Representation by the Agency requires the execution of a written Talent Representation Agreement. The information presented on this website does not constitute a binding offer (Angebot) within the meaning of sections 145 et seq. of the German Civil Code (Buergerliches Gesetzbuch - BGB), but rather an invitation to treat (invitatio ad offerendum).
All booking confirmations are subject to the Agency's standard booking terms. A booking becomes binding upon written confirmation by the Agency. Verbal agreements are not binding unless confirmed in writing.
Monthly representation fees are as outlined in the applicable pricing tier (Starter, Professional, or Elite). All prices are stated in Euros and are subject to the statutory value-added tax (Umsatzsteuer/Mehrwertsteuer) at the applicable rate currently 19% as per section 12(1) of the German VAT Act (Umsatzsteuergesetz - UStG).
The Agency earns a commission on all bookings arranged through the Agency. Standard commission rates are 20% for domestic bookings and 25% for international bookings, unless otherwise agreed in writing.
Invoices are due within 30 days of issuance (net 30) unless otherwise stipulated in the individual contract. Late payments are subject to default interest in accordance with section 288 BGB. The Agency reserves the right to charge a reminder fee of EUR 5.00 per reminder after the first written reminder.
All content on this website, including but not limited to text, graphics, logos, images, and software, is the property of Vogue Talent Roster or its licensors and is protected by German copyright law (Urheberrechtsgesetz - UrhG) and international intellectual property treaties.
Photographs and other materials created during Agency-organized shoots remain the joint intellectual property of the Agency and the talent, unless otherwise agreed. Usage rights for commercial purposes are governed by the respective booking or licensing agreement.
The Agency's liability is limited in accordance with German law. We are liable without limitation for damages caused by intentional misconduct (Vorsatz) or gross negligence (grobe Fahrlaessigkeit) as per sections 276, 278 BGB.
For slight negligence (leichte Fahrlaessigkeit), the Agency is only liable for breach of material contractual obligations (Kardinalpflichten). In such cases, liability is limited to the foreseeable, typically occurring damage.
The Agency shall not be liable for any failure to perform its obligations where such failure results from circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, strikes, or other force majeure events.
Talent representation agreements may be terminated by either party with 30 days' written notice, unless a minimum contract period has been agreed. The minimum contract period for Starter is 6 months, Professional is 12 months, and Elite is 12 months.
Consumers have the right to withdraw from contracts concluded at a distance within 14 days without giving any reason, in accordance with sections 355 et seq. BGB and Article 9 of the EU Consumer Rights Directive (2011/83/EU).
We process personal data in accordance with our Privacy Policy and in compliance with the GDPR and BDSG. By using our services, you acknowledge that you have read and understood our data protection practices.
Both parties agree to keep confidential all non-public information obtained during the course of their business relationship. This obligation survives the termination of any agreement by a period of two years.
We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board (Verbraucherschlichtungsstelle) pursuant to the German Consumer Dispute Resolution Act (Verbraucherstreitbeilegungsgesetz - VSBG).
These Terms are governed exclusively by the laws of the Federal Republic of UAE, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction for all disputes arising from or in connection with these Terms is Dubai, UAE, provided that the user is a merchant (Kaufmann), a legal entity under public law, or a special fund under public law.
Should any provision of these Terms be or become invalid or unenforceable, the validity of the remaining provisions shall not be affected. The invalid or unenforceable provision shall be replaced by a valid provision that comes closest to the economic purpose of the invalid provision (Salvatorische Klausel).
The Agency reserves the right to amend these Terms at any time. Changes will be published on this page with a revised date. Continued use of our website or services after the publication of changes constitutes acceptance of the amended Terms.
